Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ServiceVisit platform, including our websites, web and mobile applications, and related services (collectively, the "Platform"), operated by ServiceVisit Technologies, LLC ("ServiceVisit," "we," "us," or "our"). By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Who we are and what the Platform does

ServiceVisit connects homeowners and property owners ("Homeowners") with independent service professionals ("Service Providers") and helps document the maintenance and service history of a property through a verifiable record we call the Digital Home Passport. ServiceVisit is a technology platform; we are not a party to any service agreement between a Homeowner and a Service Provider, and we do not perform home-service work ourselves.

2. Definitions

Account — the credentials and profile you use to access the Platform.
Homeowner — a user who manages one or more properties and their service records.
Service Provider — an independent business or individual that offers services to Homeowners.
Digital Home Passport — the cryptographically verifiable record of a property's systems, assets, and service history maintained on the Platform.
Content — any information, text, images, documents, or other materials submitted to the Platform.

3. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Platform. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your Account credentials and for all activity that occurs under your Account. Notify us promptly of any unauthorized use. We may suspend or terminate Accounts that violate these Terms.

4. Homeowner terms

As a Homeowner, you may create a Digital Home Passport for properties you own or are authorized to manage, document service history, and discover and contact Service Providers. You are responsible for verifying the suitability, licensing, and insurance of any Service Provider you engage, and for the terms of any agreement you enter into with them. ServiceVisit does not guarantee the quality, safety, legality, or outcome of any service.

5. Service Provider terms

As a Service Provider, you represent that you hold all licenses, permits, and insurance required to perform your services and that the information in your profile is accurate. You are solely responsible for the services you provide, your pricing, your tax obligations, and your compliance with applicable law. You agree to document service records truthfully. ServiceVisit does not employ Service Providers and is not responsible for their acts or omissions.

6. The Digital Home Passport and service records

Service records and attestations are intended to create a durable, tamper-evident history of work performed on a property. You grant other authorized parties (such as a property's current owner) access to records as described in the Platform. When a property changes hands, a Homeowner may transfer the Digital Home Passport to the new owner. You are responsible for the accuracy of records you submit. Records that are finalized and verified are intended to be permanent and may not be deletable.

7. Subscriptions, fees, and billing

Some features require a paid subscription. Pricing, plan features, and billing cycles are described at the point of purchase. Unless stated otherwise, subscriptions renew automatically until cancelled, and fees are non-refundable except where required by law. We may change pricing on a prospective basis with notice. Taxes may apply. Payments are processed by a third-party payment processor; we do not store full payment-card numbers.

8. Acceptable use

You agree not to: (a) violate any law or third-party right; (b) submit false, misleading, or infringing Content; (c) interfere with or disrupt the Platform or its security; (d) access the Platform by automated means except as expressly permitted; (e) reverse engineer or attempt to extract source code; (f) use the Platform to harass, defraud, or harm others; or (g) misrepresent your identity, licensing, or authority over a property.

9. Your Content and license to us

You retain ownership of Content you submit. You grant ServiceVisit a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display your Content as necessary to operate and improve the Platform and to provide the Digital Home Passport to authorized parties. You represent that you have the rights necessary to grant this license.

10. Intellectual property

The Platform, including its software, design, trademarks, and content (excluding your Content), is owned by ServiceVisit or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-transferable license to use the Platform in accordance with these Terms. No other rights are granted.

11. Third-party services

The Platform may integrate with or link to third-party services. We are not responsible for third-party services, and your use of them is governed by their own terms and policies.

12. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY SERVICE PROVIDER OR SERVICE WILL MEET YOUR EXPECTATIONS.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVICEVISIT AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US$100).

14. Indemnification

You agree to indemnify and hold harmless ServiceVisit and its affiliates from any claims, damages, and expenses (including reasonable legal fees) arising out of your Content, your use of the Platform, your violation of these Terms, or your violation of any law or third-party right.

15. Termination

You may stop using the Platform at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Platform. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction, except where applicable law provides otherwise.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Platform or by other reasonable means. Your continued use of the Platform after the changes take effect constitutes acceptance of the revised Terms.
